Agreement
These Terms of Service (“Terms”) govern access to and use of websites, applications, and related services operated by Merchant Management (the “Services”). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business.
The Services
Merchant Management provides payments-related services and software tools for merchants and their customers. Features may include operational portals, booking experiences, messaging, and integrations with third-party platforms. We may modify, suspend, or discontinue features with reasonable notice when practical.
Accounts and acceptable use
- Provide accurate information and keep credentials secure
- Use the Services only for lawful business and personal purposes
- Do not attempt to disrupt, reverse engineer, or misuse the Services
- Do not use messaging features to send spam or content that violates law or carrier rules
SMS terms
Where the Services support SMS, messages are transactional in nature (for example appointment confirmations, reminders, and verification codes). By providing a mobile number and consenting to texts—or by having a merchant record your consent in the software—you agree to receive those messages. Message frequency varies. Message and data rates may apply.
Reply STOP to opt out and HELP for help. Consent to SMS is not required to complete a purchase where another contact method is available. Additional details are in our Privacy Policy.
Merchant responsibilities
Merchants using our software are responsible for their own customer relationships, disclosures, consent collection, and compliance with applicable laws (including marketing and privacy rules) when they configure or send communications through the Services.
Third-party services
The Services may integrate with third parties (for example payment processors, hosting, email, or SMS providers). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services we do not control.
Intellectual property
We and our licensors own the Services, including software, branding, and content we provide. You receive a limited, non-exclusive, non-transferable right to use the Services as offered. You retain rights to content you submit, and you grant us a license to host and process that content as needed to operate the Services.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHANT MANAGEMENT AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID.
Indemnity
You agree to defend and indemnify Merchant Management against claims arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.
Termination
We may suspend or terminate access if you violate these Terms or if needed to protect the Services or other users. You may stop using the Services at any time. Provisions that by nature should survive will survive termination.
Changes
We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after an update constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, unless mandatory local law provides otherwise.
